Terms of Service

Version: 1.0 (draft)  ·  Last updated: [FILL IN — date of publication]

1. Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Kenras Health ("Kenras Health," "we," "us," or "our") governing your access to and use of the Kenras Health website, application, and related services (together, the "Service"), available at [FILL IN — site URL].

By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you don't agree, don't create an account or use the Service. We record your acceptance — including which version of these Terms and the Privacy Policy you agreed to, and when — against your account.

2. Eligibility

You must be at least [FILL IN — 18, or "the age of majority in your jurisdiction"; see this section's drafting note] years old, and legally able to enter into a binding contract, to create an account. This is a separate, contract-capacity requirement from the minimum age described in the Privacy Policy's children's-privacy section, which concerns data collection rather than contract formation — the two commonly differ, but both should be confirmed with counsel together rather than independently.

You're responsible for anything that happens under your account, and for keeping your password confidential. Tell us right away at [FILL IN — support email] if you believe your account has been accessed without your permission.

3. Not medical advice

Kenras Health is not a medical device, and nothing in the Service is medical, dietary, or health advice. The Service aggregates data from fitness and health devices/services you connect, and computes derived figures from it — calorie and macronutrient targets, training load and efficiency trends, forecasted weight change, and similar analytics. These are estimates built from consumer-grade device data and general formulas, not a clinical or individualized assessment of your health.

Talk to a doctor, registered dietitian, or qualified coach before making decisions about your diet, exercise program, or any existing health condition, and before relying on the Service for anything related to a medical condition, pregnancy, injury, or eating disorder. Don't disregard or delay seeking professional medical advice because of anything the Service shows you. If you think you may have a medical emergency, contact a doctor or emergency services immediately, not us.

4. The data you connect

Core to the Service is connecting third-party fitness, health, and nutrition accounts you already have — currently Garmin Connect, Strava, TrainingPeaks, Withings, and Cronometer, and (for accounts with an uploaded coaching plan) a Google Drive folder holding that plan. [FILL IN/CONFIRM — as more of these connections become available per-user rather than owner-configured, this list and its framing should be revisited; see Section 2.2 of the Privacy Policy for the same note.]

  • You authorize each connection yourself, and can disconnect any of them at any time from your account settings. Disconnecting stops new data from that source going forward; it doesn't retroactively delete what's already been synced unless you separately request that (see the Privacy Policy, Section 7).
  • Each connected provider has its own terms of service and privacy policy governing your relationship with them. Connecting an account doesn't make us a party to that agreement, and doesn't make them responsible for anything we do with the data once it's synced, or vice versa.
  • We depend on these providers' own APIs to fetch your data. If a provider changes, rate-limits, or discontinues their API, or revokes our access, a connected feature may stop working, show stale data, or behave unexpectedly through no fault of ours — see Section 9.
  • You're responsible for making sure you have the right to connect any account you link (for example, that a Garmin device or Cronometer diary you're connecting is actually yours, or one you're otherwise authorized to share).

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, or in violation of these Terms.
  • Access or attempt to access another user's account or data without authorization.
  • Probe, scan, or attempt to bypass the Service's authentication or rate limits, or otherwise interfere with its normal operation.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law expressly permits it.
  • Impersonate any person, or misrepresent your affiliation with any person or entity.
  • Use any automated system (bot, scraper, etc.) to access the Service outside of the API access, if any, that we've separately authorized for your account.

We may suspend or terminate your account for violating this section — see Section 8.

6. Your data and our license to it

As between you and us, you own the data you connect or enter into the Service. We don't sell it, and we don't use it to build advertising profiles — see the Privacy Policy, Section 5, for the full picture of how it's handled and shared.

You grant us a limited license to store, process, and display your data back to you as necessary to operate and improve the Service (for example, computing the analytics described in Section 3, or troubleshooting a sync issue at your request). This license ends when your data is deleted, except for aggregated or de-identified data that can no longer be tied back to you, which we may retain and use to understand and improve the Service generally. [FILL IN/CONFIRM — if aggregated/de-identified data is retained this way, describe it here and in the Privacy Policy consistently; if it isn't retained at all, say so instead and remove this carve-out.]

7. Fees

[FILL IN — is the Service free, invite-only, or paid? If paid: billing cadence, refund policy, what happens to data/access on non-payment or cancellation. If free for now but might not stay that way, say so here rather than leaving it unaddressed.]

8. Suspension and termination

You can stop using the Service and delete your account at any time from account settings, or by contacting [FILL IN — support email].

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you've violated these Terms, created risk or legal exposure for us, or if we discontinue the Service entirely. Where practical, we'll give you advance notice and a chance to export your data first.

Sections 3, 6, 9, 10, and 11 survive termination of your account or these Terms.

9. Disclaimers; limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that any data synced from a connected third-party service will be accurate or complete — see Section 4.

[FILL IN with counsel — a limitation-of-liability clause needs a real decision about the operating entity and its risk tolerance, not template language. For reference, Strava's 2026 terms cap total liability at the greater of $50 or the user's prior-year subscription fees; a free/personal-scale service often uses a small fixed figure (e.g., $100) instead, or a fees-paid-in-the-prior-12-months formula if the Service ever charges for access. Some jurisdictions (parts of the EU in particular) restrict how far liability can be limited for gross negligence or physical injury — this whole section needs local-law review before publication, not just this placeholder filled in.]

10. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, liability, damages, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any third-party right, including a connected provider's own terms.

11. Dispute resolution; governing law

[FILL IN with counsel — decide whether disputes go through binding arbitration (as Whoop's and Strava's terms do, typically with a class-action waiver and a carve-out exempting users in the EEA/UK/other jurisdictions that restrict mandatory arbitration) or ordinary courts, and which jurisdiction's law governs and which courts/arbitration body has venue. This is one of the highest-consequence sections in this document for the operating entity and should not be filled in without legal advice.]

12. Changes to these terms

We may update these Terms from time to time. If we make a material change, we'll notify active users (for example, by email or an in-app notice) before it takes effect, and update the version and "Last updated" date above. Continuing to use the Service after a material change takes effect means you accept the updated Terms; if you don't agree, stop using the Service and delete your account.

13. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service, superseding any prior agreement on the same subject.
  • Severability. If any provision of these Terms is found unenforceable, the rest remain in effect.
  • No waiver. Our failure to enforce a provision isn't a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, consistent with the Privacy Policy's own successor-entity language.
